TERMS AND CONDITIONS

Ownership of media and Source Files: Wasatch Aerial Photography ownership shall hold all right, title, and interest in all media (photography, video/ and audio) captured by Wasatch Aerial Photography, whether in draft, mock-up, concept or final development for the Project. Specifically, but without limitation, Wasatch Aerial Photography shall hold all right, title, and interest in and to (1) all photography, video, source files, text, (2) all media materials presented to Customer that comprises the Project, (3) all literal and nonliteral expressions of ideas that operate, cause, create, direct, manipulate, access, or otherwise affect the Content, (4) all copyrights, intellectual or industrial property rights in the Project or any component or characteristic thereof, and (5) all media captured by Wasatch Aerial Photography is solely owned by Wasatch Aerial Photography and Wasatch Aerial Photography, all rights reserved. Some media files may possibly be purchased and/or licensed from Wasatch Aerial Photography by the client in addition to the original project contract/agreement. Client’s of Wasatch Aerial Photography are prohibited to do anything that may infringe upon or in any way undermine Wasatch Aerial Photography’s right, title, and interest in the Project or media, as described in this paragraph. Wasatch Aerial Photography reserves the right to use all media captured and/or produced by Wasatch Aerial Photography for any commercial and marketing purposes. All media captured and produced by Wasatch Aerial Photography will remain on Wasatch Aerial Photography’s secure servers for privacy and protection. Client’s may be given permission to embed or host specific media onto selected websites and/or social media platforms, the client agrees to provide Wasatch Aerial Photography with a shared list of all website and social media platforms along with their respective URL’s (specific web address) and assumes all responsibility should any media leak (downloaded or shared) that brings unwanted (which will be excusively determined by Wasatch Aerial Photography) attention to Wasatch Aerial Photography in anyway or ends up being posted or shared on any website or social media platform that was not included on the original shared list provided to Wasatch Aerial Photography by the client and or anyone associated with the client. Each instance of all media captured and/or produced by Wasatch Aerial Photography that is not hosted on Wasatch Aerial Photography’s secure servers must display the following items at all times on the media itself, the Wasatch Aerial Photography logo, the following text “Media Produced By Wasatch Aerial Photography” along with Wasatch Aerial Photography’s contact information, Wasatch Aerial Photography will embed this information onto the media prior to being released to the client. In addition the following text “All media was captured and produced by Wasatch Aerial Photography, www.WasatchAerialPhotography.com, 801-931-9888” must be included in the accompanying description box.

Compensation: In return for the projects and services completed by Wasatch Aerial Photography the Customer shall fully compensate Wasatch Aerial Photography prior to all media delivered and/or embeded. In the event Customer fails to make any of the payments, Wasatch Aerial Photography has the right, but are not obligated, to pursue any or all of the following remedies: (1) terminate the Agreement and cease all work on the Project, (2) withhold all project files and commitments or any other service to be performed by Wasatch Aerial Photography for Customer, (3) bring legal action. Customer is fully responsible for all material costs, and accepts responsibility for all additional material costs that Wasatch Aerial Photography may incur in the development of the Project.
